By Accessing, Registering For, Using, Or Participating In Any Aspect Of The Platform, Including But Not Limited To The ICH Apps Expo, Networking Services, Or Any Other Offerings, You Acknowledge That You Have Read, Understood, And Agree To Be Bound By These Terms In Their Entirety. If You Do Not Agree With Any Provision Of These Terms, You Must Immediately Cease All Use Of The Platform And Refrain From Participating In Any Services.

1. Definitions And Interpretation

  1. Account: The Unique Profile And Access Credentials Established For A User Upon Successful Registration On The Platform.
  2. Content: All Information, Data, Text, Software, Code, Music, Sound, Photographs, Graphics, Videos, Messages, Materials, Or Other Content Of Any Nature.
  3. Event: Any Virtual, Physical, Or Hybrid Event, Including But Not Limited To ICH Apps Expo, Webinars, Conferences, Or Networking Sessions Organized By Or Through The Platform.
  4. Force Majeure: Any Event Beyond The Reasonable Control Of ICH Apps, Including But Not Limited To Acts Of God, Natural Disasters, Pandemics, Epidemics, Governmental Actions, War, Terrorism, Civil Unrest, Strikes, Labor Disputes, Internet Failures, Power Outages, Telecommunications Failures, Or Cyberattacks.
  5. Intellectual Property Rights: All Patents, Trademarks, Service Marks, Trade Names, Copyrights, Database Rights, Design Rights, Domain Names, Trade Secrets, Know-how, And All Other Intellectual Property Rights, Whether Registered Or Unregistered.
  6. Personal Data: Any Information Relating To An Identified Or Identifiable Natural Person As Defined Under Applicable Data Protection Laws.
  7. Premium Services: Paid Services, Subscriptions, Or Features Available On The Platform Requiring Monetary Consideration.
  8. Registered User: An Individual Or Entity That Has Completed The Registration Process And Maintains An Active Account On The Platform.
  9. Third-Party Rights: All Copyrights, Trademarks, Trade Secrets, Patents, Publicity Rights, Privacy Rights, And Other Personal Or Proprietary Rights Belonging To Third Parties.
  10. Transaction Risks: Risks Associated With Business Transactions Conducted Through Or Facilitated By The Platform, Including But Not Limited To Misrepresentation, Fraud, Unsatisfactory Quality, Breach Of Warranty, Breach Of Contract, Infringement Of Third-Party Rights, And Any Related Claims, Damages, Or Liabilities.
  11. User Content: All Content Created, Uploaded, Posted, Transmitted, Or Otherwise Made Available By Users Through The Platform.
  12. Interpretation: References To Statutory Provisions Include Amendments Or Re-enactments Thereof. Headings Are For Convenience Only And Do Not Affect Interpretation. Words In The Singular Include The Plural And Vice Versa. The Terms "include," "including," And "such As" Are Not Limiting.

2. Scope Of Services And Platform

  1. ICH Apps Operates As A Professional Networking Platform Facilitating Connections Among Professionals, Businesses, And Organizations In The Technology, Applications, And Related Sectors.
  2. The Platform Provides Access To Various Services Including But Not Limited To:
    • Professional Profile Creation And Management
    • Business Entity Registration And Promotion
    • Networking And Communication Tools
    • Virtual, Hybrid, And Physical Event Participation
    • Exhibition And Showcase Opportunities
    • Knowledge Sharing And Educational Content
    • Business Development And Lead Generation Tools
  3. ICH Apps Reserves The Unilateral Right To Modify, Suspend, Discontinue, Or Add Services At Any Time Without Prior Notice Or Liability.
  4. The Platform May Be Accessed Via Web Browsers, Mobile Applications, Desktop Applications, Or Other Authorized Interfaces As Determined By ICH Apps.
  5. Certain Services May Be Subject To Additional Terms, Conditions, Or Fees As Communicated Through The Platform.
  6. ICH Apps Acts Solely As A Facilitator And Intermediary For Connections And Transactions; We Are Not A Party To Any Agreements Between Users.

3. Eligibility And Capacity

  1. Minimum Age Requirement: Access To And Use Of The Platform Is Strictly Restricted To Individuals Who Have Attained The Age Of Eighteen (18) Years Or The Age Of Majority In Their Jurisdiction Of Residence, Whichever Is Higher.
  2. Legal Capacity: By Registering, You Represent And Warrant That You Possess The Legal Capacity To Enter Into Binding Contracts Under The Applicable Laws Of Your Jurisdiction.
  3. Corporate Registration: If Registering On Behalf Of A Business Entity, Corporate Entity, Partnership, Or Other Organizational Structure, You Represent, Warrant, And Covenant That:
    • You Are Duly Authorized To Bind Such Entity To These Terms;
    • The Entity Is Validly Existing And In Good Standing Under The Laws Of Its Jurisdiction;
    • The Principal Place Of Business Provided Is Accurate And Current;
    • All Information Submitted Is True, Accurate, And Complete.
  4. Identity Verification: ICH Apps Reserves The Right To Request Documentation To Verify Age, Identity, Legal Capacity, And Authorization At Any Time. Failure To Provide Satisfactory Verification May Result In Account Suspension Or Termination.
  5. Geographic Restrictions: Access May Be Restricted Or Denied To Users In Jurisdictions Where The Services Would Violate Local Laws Or Where ICH Apps Is Subject To Sanctions, Embargoes, Or Export Restrictions.
  6. Prohibited Users: The Following Categories Of Individuals And Entities Are Expressly Prohibited From Accessing Or Using The Platform:
    • Persons Under The Age Of 18 Years;
    • Entities Engaged In Illegal, Unethical, Or Non-compliant Business Practices;
    • Previously Banned Or Suspended Users;
    • Entities Or Individuals Located In Sanctioned Territories;
    • Competitors Seeking To Misuse Or Reverse-engineer The Platform.
  7. Professional Status: The Platform Is Designed For Business Professionals And Commercial Entities. Personal Use For Non-commercial Purposes May Be Permitted But Is Not The Primary Intended Use Case.

4. Registration And Account Management

4.1 Registration Process

  1. Registration Must Be Completed Through Official Channels Designated By ICH Apps, Including The Website Or Authorized Mobile Applications.
  2. During Registration, You Must Provide Complete, Accurate, Current, And Truthful Information Including But Not Limited To:
    • Full Legal Name (individual Or Entity)
    • Valid Email Address
    • Contact Telephone Number
    • Date Of Birth (for Individuals)
    • Gender (optional)
    • Business Details (for Entities)
    • Principal Place Of Business
    • Tax Identification Numbers (where Applicable)
  3. You Shall Promptly Update Your Account Information To Maintain Accuracy And Completeness.
  4. Provision Of False, Inaccurate, Or Misleading Information Constitutes A Material Breach Of These Terms And May Result In Immediate Account Termination.

4.2 Account Credentials

  1. Upon Successful Registration, ICH Apps Will Issue Unique Account Credentials Comprising A User ID And Password (or Alternative Authentication Mechanisms).
  2. You Are Solely Responsible For Maintaining The Confidentiality And Security Of Your Account Credentials.
  3. You Shall Not Share, Transfer, Sell, Or Otherwise Provide Access To Your Account Credentials To Any Third Party.
  4. ICH Apps May Implement Multi-step Verification, Two-factor Authentication, Or Biometric Authentication To Enhance Account Security.
  5. You Must Immediately Notify ICH Apps Of Any Unauthorized Access, Use, Or Suspected Security Breach Of Your Account.

4.3 Account Ownership And Transferability

  1. Accounts Are Personal To The Registered User And Are Non-transferable Except With Prior Written Consent From ICH Apps.
  2. You May Not Create An Account For Any Person Or Entity Other Than Yourself Without Explicit Authorization.
  3. Creating Multiple Accounts For The Same Individual Or Entity Is Prohibited Unless Expressly Permitted For Business Units Or Subsidiaries.
  4. ICH Apps Reserves The Right To Merge, Suspend, Or Terminate Duplicate Or Fraudulent Accounts Without Notice.

4.4 Data Collection And Usage

  1. By Registering, You Consent To The Collection, Processing, Storage, And Use Of Your Personal Data As Described In Our Privacy Policy.
  2. You Acknowledge That Your Profile Information May Be Displayed To Other Users And May Be Included In Search Results And Directories.
  3. You May Be Added To ICH Apps' Mailing Lists For Notifications, Updates, Newsletters, And Marketing Communications, Subject To Your Right To Opt-out.
  4. Despite Registration On Do Not Call Registries, You Expressly Consent To Contact By ICH Apps Through Phone Calls, Emails, SMS, Push Notifications, Or Any Other Communication Means Regarding The Services.

5. Fees, Payments, And Subscriptions

5.1 Fee Structure

  1. Basic Membership And Access To The Platform Is Provided At No Charge, Subject To These Terms.
  2. Premium Services, Event Registrations, Exhibition Packages, Advertising Packages, And Certain Advanced Features Require Payment Of Fees As Specified On The Platform.
  3. All Fees Are Quoted Exclusive Of Applicable Taxes, Duties, Levies, Or Governmental Charges Unless Expressly Stated Otherwise.
  4. ICH Apps Reserves The Right To Modify Fees, Introduce New Fees, Or Change The Fee Structure With Reasonable Prior Notice.

5.2 Payment Processing

  1. Payments Must Be Made Through Authorized Payment Gateways And Methods Specified On The Platform.
  2. Accepted Payment Methods May Include Credit Cards, Debit Cards, Net Banking, Digital Wallets, Wire Transfers, Or Other Methods As Made Available.
  3. All Payment Processing Is Conducted Through Secure, PCI-DSS Compliant Payment Service Providers.
  4. You Authorize ICH Apps To Store Your Payment Information For Recurring Subscriptions And Future Transactions.
  5. International Transactions May Be Subject To Foreign Exchange Fees, Currency Conversion Charges, And Cross-border Transaction Fees Imposed By Your Financial Institution.
  6. ICH Apps Does Not Store Complete Credit Card Or Banking Details On Its Servers; Such Information Is Securely Processed By Third-party Payment Processors.

5.3 Subscriptions

  1. Certain Premium Services Are Offered On A Subscription Basis With Recurring Billing At Specified Intervals (monthly, Quarterly, Annually).
  2. Subscriptions Automatically Renew Unless Canceled Prior To The Renewal Date.
  3. Subscription Fees Are Charged In Advance For Each Billing Cycle.
  4. Failure To Pay Subscription Fees Within The Specified Period Will Result In Suspension Or Termination Of Premium Services Access.
  5. You Are Responsible For Ensuring Sufficient Funds Or Credit Availability For Recurring Charges.

5.4 Taxes And Compliance

  1. Users Are Responsible For Determining And Paying Any Applicable Taxes, Including But Not Limited To Goods And Services Tax (GST), Value-added Tax (VAT), Sales Tax, Or Other Indirect Taxes.
  2. Healthcare, Pharmaceutical, And Allied Companies Must Maintain And Update Valid Tax Registration Numbers (GST/VAT) And Regulatory Approvals (such As Drug Controller Approval) In Their Profiles.
  3. ICH Apps May Be Required To Collect And Remit Taxes On Your Behalf In Certain Jurisdictions.

6. Cancellation And Refund Policy

IMPORTANT: All Refund Requests Must Be Submitted In Writing To Support@ichapps.org. Refund Eligibility Is Strictly Time-bound And Subject To The Conditions Outlined Below.

6.1 Event Registration Cancellations

  1. Within 24 Hours: Cancellations Requested Within 24 Hours Of Initial Registration Are Eligible For A Full Refund Excluding Payment Gateway Transaction Fees And Platform Processing Fees.
  2. After 24 Hours But More Than 7 Days Before Event: Cancellations Requested After 24 Hours But More Than 7 Days Prior To The Event Commencement Date Are Eligible For A 50% Refund, Excluding All Transaction And Processing Fees.
  3. Within 7 Days Of Event: Cancellations Requested Within 7 Days Of The Event Commencement Date Are Not Eligible For Any Refund.
  4. No-Show: Failure To Attend A Registered Event Without Prior Cancellation Notification Does Not Entitle The User To Any Refund, Even In Cases Of Personal Emergencies, Travel Difficulties, Visa Issues, Or Technical Problems.

6.2 Subscription Cancellations

  1. Within 48 Hours: Subscriptions To Premium Services May Be Canceled Within 48 Hours Of The Initial Purchase For A Full Refund Excluding Government Taxes And Transaction Fees.
  2. After 48 Hours: Subscription Fees Are Non-refundable After The 48-hour Cancellation Window.
  3. Cancellation Of A Subscription Prevents Future Billing But Does Not Provide A Pro-rata Refund For The Current Billing Period.
  4. Access To Premium Services Continues Until The End Of The Then-current Billing Period Following Cancellation.

6.3 Refund Processing

  1. Approved Refunds Will Be Processed Within 30 Business Days Of The Cancellation Request Approval.
  2. Refunds Will Be Issued To The Original Payment Method Used For The Transaction.
  3. Banking Institutions May Require Additional Processing Time (typically 7-15 Business Days) To Credit Refunded Amounts To Your Account.
  4. Refunded Amounts Exclude Non-refundable Fees Including Transaction Fees, Processing Fees, Payment Gateway Charges, And Applicable Taxes.
  5. Currency Conversion Rates Applicable At The Time Of Refund Processing May Differ From Rates At The Time Of Original Payment, Resulting In Amount Variations.

6.4 ICH Apps-Initiated Cancellations

  1. ICH Apps Reserves The Right To Cancel, Postpone, Reschedule, Or Modify Any Event Due To Force Majeure, Insufficient Registrations, Technical Issues, Or Other Operational Reasons.
  2. In The Event Of ICH Apps-initiated Event Cancellation, Users May Receive:
    • A Full Refund Of Registration Fees (excluding Transaction Fees); Or
    • Credit Toward A Future Event; Or
    • Access To Rescheduled Event Dates.
  3. ICH Apps Is Not Liable For Any Consequential Damages, Travel Expenses, Accommodation Costs, Or Other Incidental Expenses Incurred By Users In Connection With Canceled Events.

6.5 Partial Attendance And Complaints

  1. No Refunds Are Provided For Partial Attendance, Early Departure, Or Failure To Access Specific Sessions Or Features Of An Event.
  2. Complaints Regarding Event Quality, Content, Or Technical Issues Must Be Submitted In Writing Within 10 Days Of The Event Conclusion For Review And Consideration.
  3. Refund Decisions Based On Complaints Are Made At The Sole Discretion Of ICH Apps Management.

6.6 Finality Of Sales

  1. Except As Expressly Provided In This Section 6, All Sales Are Final And Non-refundable.
  2. Failure To Cancel Does Not Relieve The User Of Payment Obligations For Registered Services Or Events.

7. User Obligations And Responsibilities

  1. Accurate Information: You Shall Provide And Maintain True, Accurate, Current, And Complete Information In Your Account And All Submissions To The Platform.
  2. Lawful Use: You Shall Use The Platform Solely For Lawful Purposes And In Compliance With All Applicable Local, National, And International Laws, Regulations, And Ordinances.
  3. Real Identity: You Shall Use Your Real Name And Authentic Information. Impersonation Of Any Person Or Entity, Or Misrepresentation Of Your Affiliation With Any Person Or Entity, Is Strictly Prohibited.
  4. Security Responsibility: You Are Solely Responsible For All Activities Conducted Through Your Account, Whether Or Not Authorized By You.
  5. Technical Requirements: You Are Responsible For Obtaining And Maintaining All Devices, Software, Internet Connectivity, And Other Technical Requirements Necessary To Access And Use The Platform.
  6. Content Responsibility: You Are Solely Responsible For All User Content You Create, Upload, Post, Transmit, Or Make Available Through The Platform.
  7. Interaction Conduct: You Shall Interact With Other Users In A Professional, Respectful, And Courteous Manner At All Times.
  8. Data Backup: You Are Responsible For Maintaining Backup Copies Of Any Important Data Or Content Stored On Or Transmitted Through The Platform.
  9. Communication Monitoring: You Acknowledge That Communications Through The Platform May Be Monitored For Compliance, Security, And Quality Assurance Purposes.
  10. Reporting Violations: You Shall Promptly Report Any Violations Of These Terms, Security Breaches, Or Inappropriate Conduct By Other Users To ICH Apps.

8. Prohibited Conduct

ZERO TOLERANCE: ICH Apps Maintains A Zero-tolerance Policy For The Prohibited Activities Listed Below. Violation May Result In Immediate Account Termination, Legal Action, And Reporting To Appropriate Authorities.

8.1 Illegal Activities

  1. Using The Platform To Facilitate, Promote, Or Engage In Any Illegal Activities Including But Not Limited To Fraud, Money Laundering, Terrorism Financing, Drug Trafficking, Or Human Trafficking.
  2. Selling, Offering, Or Promoting Illegal Drugs, Controlled Substances, Weapons, Counterfeit Goods, Stolen Property, Or Other Contraband.
  3. Violating Any Applicable Export Control, Sanctions, Or Embargo Regulations.
  4. Engaging In Or Facilitating Criminal Activities Or Conspiracies.

8.2 Harmful And Malicious Conduct

  1. Uploading, Posting, Or Transmitting Viruses, Malware, Ransomware, Trojan Horses, Worms, Spyware, Or Any Other Malicious Code Or Destructive Programming.
  2. Attempting To Gain Unauthorized Access To Any Portion Of The Platform, Other Users' Accounts, Or Connected Systems Or Networks.
  3. Interfering With, Disrupting, Or Creating An Undue Burden On The Platform's Servers, Networks, Or Infrastructure.
  4. Launching Denial-of-service Attacks, Distributed Denial-of-service Attacks, Or Similar Attacks Against The Platform.
  5. Engaging In Any Form Of Hacking, Cracking, Or Penetration Testing Without Explicit Written Authorization.

8.3 Abuse And Harassment

  1. Harassing, Threatening, Stalking, Bullying, Intimidating, Or Abusing Any User Or ICH Apps Personnel.
  2. Engaging In Hate Speech Or Promoting Discrimination Based On Race, Ethnicity, National Origin, Religion, Gender, Sexual Orientation, Disability, Age, Or Any Other Protected Characteristic.
  3. Posting Defamatory, Libelous, Obscene, Pornographic, Sexually Explicit, Violent, Or Otherwise Objectionable Content.
  4. Engaging In Sexual Harassment Or Creating A Hostile Environment For Other Users.

8.4 Automated And Unauthorized Access

  1. Using Robots, Spiders, Scrapers, Crawlers, Or Any Automated Systems Or Scripts To Access, Extract, Or Download Content Or Data From The Platform Without Express Written Permission.
  2. Using Load Testing Tools Such As Wget, Apache Bench, MSWebStress, HTTPLoad, Blitz, Xcode Automator, Android Monkey, Or Similar Tools.
  3. Accessing The Platform Through Unauthorized Means Or Bypassing Security Measures, Authentication Systems, Or Access Controls.
  4. Reverse Engineering, Decompiling, Disassembling, Or Attempting To Derive Source Code From The Platform.
  5. Creating Derivative Works Or Mirror Sites Of The Platform Without Authorization.

8.5 Commercial Abuse

  1. Using The Platform For Unauthorized Commercial Solicitation, Spam, Or Unsolicited Advertising.
  2. Sending Junk Mail, Chain Letters, Pyramid Schemes, Or Multi-level Marketing Solicitations.
  3. Harvesting, Collecting, Or Scraping Personal Data, Email Addresses, Or Phone Numbers Of Other Users.
  4. Selling Or Transferring Your Account Access To Third Parties Without Authorization.
  5. Sharing Account Credentials, Login Codes, Or Access Links With Unauthorized Persons.
  6. Operating Promotional Contests, Sweepstakes, Or Giveaways On The Platform Without Prior Written Approval.

8.6 Intellectual Property Violations

  1. Infringing Copyrights, Trademarks, Patents, Trade Secrets, Or Other Intellectual Property Rights Of ICH Apps Or Third Parties.
  2. Uploading, Posting, Or Distributing Content That You Do Not Have The Legal Right To Share Or Distribute.
  3. Reproducing, Copying, Distributing, Or Creating Derivative Works From Platform Content Without Authorization.
  4. Removing, Altering, Or Obscuring Copyright Notices, Trademarks, Or Other Proprietary Rights Notices.

8.7 Fraudulent And Deceptive Practices

  1. Providing False, Misleading, Inaccurate, Or Deceptive Information In Your Profile, Listings, Or Communications.
  2. Misrepresenting Your Identity, Credentials, Affiliations, Or Authority.
  3. Engaging In Phishing, Social Engineering, Or Other Deceptive Practices To Obtain Information Or Access.
  4. Creating Fraudulent Schemes, Scams, Or Confidence Tricks Targeting Other Users.
  5. Manipulating, Falsifying, Or Misrepresenting Transaction Information Or Business Metrics.

8.8 Content Violations

  1. Posting Content That Promotes, Glorifies, Or Facilitates Violence, Self-harm, Suicide, Eating Disorders, Or Dangerous Activities.
  2. Sharing Content That Is Harmful To Minors Or That Sexualizes, Exploits, Or Endangers Children.
  3. Distributing Non-consensual Intimate Images Or Engaging In "revenge Porn."
  4. Posting Graphic Violence, Gore, Or Disturbing Content Designed To Shock Or Disturb.

8.9 Platform Manipulation

  1. Artificially Inflating Views, Engagement Metrics, Ratings, Or Reviews Through Automated Means Or Coordinated Inauthentic Behavior.
  2. Creating Multiple Fake Accounts To Manipulate Platform Features Or Deceive Users.
  3. Circumventing Paywalls, Access Restrictions, Or Premium Service Limitations.
  4. Exploiting Bugs, Vulnerabilities, Or Unintended Features For Personal Gain.

8.10 Recording And Privacy Violations

  1. Recording, Screenshotting, Or Capturing Audio Or Video From Events, Webinars, Or Sessions Without Express Written Permission.
  2. Unauthorized Distribution Or Publication Of Recorded Event Content.
  3. Violating The Privacy Rights Or Reasonable Expectations Of Privacy Of Other Users.
  4. Doxxing Or Publicly Disclosing Private Information About Other Users Without Consent.

9. Intellectual Property Rights

9.1 Ownership Of Platform

  1. All Right, Title, And Interest In And To The Platform, Including All Content, Software, Code, Databases, Designs, Trademarks, Service Marks, Trade Names, Logos, Graphics, User Interfaces, And All Intellectual Property Rights Therein, Are And Shall Remain The Exclusive Property Of ICH Apps Or Its Licensors.
  2. These Terms Do Not Grant You Any Ownership Rights In The Platform Or Any Intellectual Property Rights Except As Expressly Provided Herein.
  3. All Content On The Platform Is Protected Under International Copyright Law, Including The Berne Convention For The Protection Of Literary And Artistic Works, As Well As Trademark, Patent, Trade Secret, And Other Intellectual Property Laws.

9.2 Limited License To Users

  1. Subject To Your Compliance With These Terms, ICH Apps Grants You A Limited, Non-exclusive, Non-transferable, Non-sublicensable, Revocable License To Access And Use The Platform Solely For Its Intended Purposes.
  2. This License Is Personal To You And May Not Be Assigned, Transferred, Or Sublicensed To Any Third Party Without ICH Apps' Prior Written Consent.

17.6 Jurisdictional Limitations

  1. Some Jurisdictions Do Not Allow The Limitation Or Exclusion Of Liability For Incidental Or Consequential Damages. In Such Jurisdictions, ICH Apps' Liability Is Limited To The Maximum Extent Permitted By Law.

18. Indemnification

18.1 Indemnification Obligation

  1. You Agree To Indemnify, Defend, And Hold Harmless ICH Apps, Its Affiliates, Subsidiaries, Parent Companies, Officers, Directors, Employees, Agents, Partners, Licensors, And Service Providers (collectively, The "Indemnified Parties") From And Against Any And All Claims, Demands, Actions, Suits, Proceedings, Losses, Damages, Liabilities, Judgments, Settlements, Costs, And Expenses (including Reasonable Attorneys' Fees And Legal Costs) Arising Out Of Or Relating To:
    • Your Access To Or Use Of The Platform;
    • Your Violation Of These Terms;
    • Your Violation Of Any Applicable Laws Or Regulations;
    • Your User Content Or Any Content You Submit, Post, Or Transmit;
    • Your Infringement Or Violation Of Any Third-Party Rights;
    • Your Business Activities, Products, Or Services Promoted Through The Platform;
    • Your Interactions Or Transactions With Other Users;
    • Any Transaction Risks Arising From Your Activities;
    • Any Claims That Your Conduct Or Content Caused Harm To Third Parties;
    • Your Negligence, Willful Misconduct, Or Fraudulent Activities.

18.2 Defense And Settlement

  1. ICH Apps Reserves The Right, At Its Own Expense, To Assume The Exclusive Defense And Control Of Any Matter Otherwise Subject To Indemnification By You.
  2. In Such Event, You Shall Cooperate Fully With ICH Apps In Asserting Any Available Defenses And Providing Necessary Information And Assistance.
  3. You Shall Not Settle Any Claim Subject To Indemnification Without ICH Apps' Prior Written Consent.

18.3 Notice And Cooperation

  1. You Shall Promptly Notify ICH Apps Of Any Claims Or Potential Claims Subject To Indemnification.
  2. You Shall Provide All Reasonable Cooperation And Assistance In The Defense Of Such Claims.
  3. Failure To Provide Timely Notice May Relieve ICH Apps Of Certain Indemnification Obligations To The Extent Prejudiced Thereby.

19. Force Majeure

  1. ICH Apps Shall Not Be Liable Or Responsible For Any Failure Or Delay In Performing Obligations Under These Terms To The Extent Such Failure Or Delay Is Caused By Force Majeure Events Beyond Our Reasonable Control.
  2. Force Majeure Events Include But Are Not Limited To:
    • Acts Of God, Natural Disasters, Earthquakes, Floods, Hurricanes, Storms, Or Extreme Weather;
    • Pandemics, Epidemics, Public Health Emergencies, Or Quarantines;
    • War, Armed Conflict, Terrorism, Insurrection, Or Civil Unrest;
    • Government Actions, Regulations, Orders, Embargoes, Or Sanctions;
    • Strikes, Labor Disputes, Lockouts, Or Work Stoppages;
    • Internet Backbone Failures, ISP Outages, Or Telecommunications Failures;
    • Power Failures, Electrical Grid Disruptions, Or Utility Interruptions;
    • Cyberattacks, Distributed Denial-of-service Attacks, Or Hacking Incidents;
    • Software Failures, Hardware Failures, Or Platform Crashes;
    • Fires, Explosions, Or Industrial Accidents;
    • Supply Chain Disruptions Or Material Shortages.
  3. Upon Occurrence Of A Force Majeure Event, ICH Apps May:
    • Suspend Performance Of Affected Obligations;
    • Cancel, Postpone, Or Reschedule Events;
    • Provide Alternative Arrangements Where Feasible;
    • Extend Performance Deadlines.
  4. In The Event Of Force Majeure Affecting Events, ICH Apps May Offer Refunds (excluding Transaction Fees), Credits, Or Access To Rescheduled Events, But Shall Not Be Liable For Consequential Damages, Travel Expenses, Or Other Losses.
  5. If A Force Majeure Event Continues For More Than Ninety (90) Days, Either Party May Terminate The Affected Obligations Upon Written Notice Without Liability.

20. Termination And Suspension

20.1 Termination By User

  1. You May Terminate Your Account At Any Time By:
    • Using The Account Deletion Feature On The Platform;
    • Sending A Written Termination Notice To Support@ichapps.org.
  2. Termination By You Does Not Relieve You Of Any Payment Obligations For Services Already Provided Or Fees Already Incurred.
  3. Termination Does Not Entitle You To Refunds For Unused Subscription Periods Or Prepaid Services.

20.2 Termination By ICH Apps

  1. ICH Apps May Terminate Or Suspend Your Account, Access To The Platform, Or Any Services Immediately And Without Prior Notice If:
    • You Breach Any Provision Of These Terms;
    • You Engage In Prohibited Conduct;
    • You Provide False Or Fraudulent Information;
    • Your Account Is Inactive For An Extended Period;
    • Required By Law Or Court Order;
    • Your Actions Create Liability Or Harm To ICH Apps Or Other Users;
    • You Engage In Unauthorized Or Illegal Activities;
    • You Fail To Pay Required Fees;
    • ICH Apps Determines Termination Is In The Best Interest Of The Platform Or Community.
  2. ICH Apps May Also Terminate Or Suspend Any User Account At Any Time, With Or Without Cause, At Its Sole Discretion.

20.3 Effect Of Termination

  1. Upon Termination Of Your Account:
    • Your Right To Access And Use The Platform Immediately Ceases;
    • Your Profile And Account Information May Be Deleted Or Anonymized;
    • You Lose Access To Premium Services, Event Registrations, And Stored Data;
    • Outstanding Payment Obligations Remain Due And Payable;
    • Licenses Granted By You To ICH Apps Survive Termination;
    • Provisions Intended To Survive Termination Remain In Effect.

20.4 Survival

  1. The Following Provisions Survive Termination Of These Terms Or Your Account:
    • Sections Relating To Intellectual Property Rights;
    • User Content And License Grant;
    • Disclaimers And Warranties;
    • Limitation Of Liability;
    • Indemnification;
    • Governing Law And Dispute Resolution;
    • General Provisions;
    • Any Other Provisions Which By Their Nature Should Survive.

20.5 No Liability For Termination

  1. ICH Apps Shall Not Be Liable To You Or Any Third Party For Any Termination Or Suspension Of Your Account Or Access To The Platform.
  2. You Agree That ICH Apps Has No Obligation To Retain, Store, Or Provide Copies Of Any User Content Following Account Termination.

21. Governing Law And Dispute Resolution

21.1 Governing Law

  1. These Terms And Any Disputes Arising Out Of Or Relating To These Terms Or The Platform Shall Be Governed By And Construed In Accordance With The Laws Of The Republic Of India, Without Regard To Its Conflict Of Laws Principles.
  2. The United Nations Convention On Contracts For The International Sale Of Goods (CISG) Shall Not Apply To These Terms.

21.2 Jurisdiction For Indian Users

  1. For Users Located In India, Any Disputes, Claims, Or Controversies Arising Out Of Or Relating To These Terms Or The Platform Shall Be Subject To The Exclusive Jurisdiction Of The Courts Located In Hyderabad, Telangana, India.
  2. By Using The Platform, You Submit To The Personal Jurisdiction Of Such Courts And Waive Any Objections To Venue Or Inconvenient Forum.

21.3 International Arbitration

  1. For Users Located Outside Of India, Any Disputes, Claims, Or Controversies Arising Out Of Or Relating To These Terms Or The Platform That Cannot Be Resolved Through Good Faith Negotiations Shall Be Finally Settled By Binding Arbitration.
  2. Arbitration Shall Be Conducted In Accordance With The UNCITRAL Arbitration Rules As Currently In Force.
  3. The Arbitral Tribunal Shall Consist Of A Single Arbitrator Appointed By Mutual Agreement Of The Parties, Or In The Absence Of Agreement, Appointed In Accordance With The UNCITRAL Rules.
  4. The Seat And Venue Of Arbitration Shall Be Bangalore, India.
  5. The Language Of Arbitration Shall Be English.
  6. The Arbitrator's Decision Shall Be Final And Binding Upon The Parties And May Be Entered As A Judgment In Any Court Of Competent Jurisdiction.
  7. Each Party Shall Bear Its Own Costs Of Arbitration Unless The Arbitrator Determines Otherwise.

21.4 Small Claims Court

  1. Notwithstanding The Arbitration Provisions, Either Party May Bring An Individual Action In Small Claims Court If The Claim Qualifies And Remains In Such Court.

21.5 Class Action Waiver

  1. YOU AND ICH APPS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, REPRESENTATIVE, OR COLLECTIVE ACTION.
  2. Unless Both You And ICH Apps Agree Otherwise, The Arbitrator May Not Consolidate More Than One Person's Claims And May Not Otherwise Preside Over Any Form Of Representative Or Class Proceeding.

21.6 Injunctive Relief

  1. Notwithstanding The Foregoing, Either Party May Seek Injunctive Or Other Equitable Relief In Any Court Of Competent Jurisdiction To Prevent Actual Or Threatened Infringement, Misappropriation, Or Violation Of Intellectual Property Rights Or Confidential Information.

21.7 Attorneys' Fees

  1. In Any Dispute Resolution Proceeding, The Prevailing Party Shall Be Entitled To Recover Its Reasonable Attorneys' Fees, Expert Fees, And Costs Incurred In Connection With Such Proceeding.

21.8 Time Limitation On Claims

  1. Any Claim Or Cause Of Action Arising Out Of Or Relating To These Terms Or The Platform Must Be Filed Within One (1) Year After Such Claim Or Cause Of Action Arose, Or It Shall Be Forever Barred, Regardless Of Any Statute Or Law To The Contrary.

22. General Provisions

22.1 Entire Agreement

  1. These Terms, Together With The Privacy Policy And Any Additional Terms For Specific Services, Constitute The Entire Agreement Between You And ICH Apps Regarding The Subject Matter Hereof And Supersede All Prior Or Contemporaneous Communications, Agreements, And Understandings, Whether Oral Or Written.

22.2 Amendments

  1. ICH Apps Reserves The Right To Modify, Amend, Or Update These Terms At Any Time At Its Sole Discretion.
  2. Material Changes Will Be Notified Through The Platform, Email, Or Prominent Notice.
  3. Continued Use Of The Platform Following Such Notification Constitutes Acceptance Of The Modified Terms.
  4. If You Do Not Agree To Modified Terms, Your Sole Remedy Is To Terminate Your Account.

22.3 Severability

  1. If Any Provision Of These Terms Is Found To Be Invalid, Illegal, Or Unenforceable By A Court Of Competent Jurisdiction, Such Provision Shall Be Modified To The Minimum Extent Necessary To Make It Valid And Enforceable, Or If Such Modification Is Not Possible, Severed From These Terms.
  2. The Invalidity, Illegality, Or Unenforceability Of Any Provision Shall Not Affect The Validity, Legality, Or Enforceability Of The Remaining Provisions.

22.4 Waiver

  1. No Waiver Of Any Term Or Condition Of These Terms Shall Be Deemed A Further Or Continuing Waiver Of Such Term Or Condition Or Any Other Term Or Condition.
  2. ICH Apps' Failure To Assert Any Right Or Provision Under These Terms Shall Not Constitute A Waiver Of Such Right Or Provision.

22.5 Assignment

  1. You May Not Assign, Transfer, Or Delegate These Terms Or Your Rights And Obligations Hereunder Without ICH Apps' Prior Written Consent.
  2. ICH Apps May Freely Assign, Transfer, Or Delegate These Terms And Its Rights And Obligations Hereunder Without Restriction, Including In Connection With A Merger, Acquisition, Corporate Reorganization, Or Sale Of Assets.
  3. Any Attempted Assignment In Violation Of This Section Is Void.

22.6 No Third-Party Beneficiaries

  1. These Terms Are For The Sole Benefit Of The Parties Hereto And Their Permitted Successors And Assigns.
  2. Nothing In These Terms, Express Or Implied, Is Intended To Or Shall Confer Upon Any Other Person Or Entity Any Legal Or Equitable Right, Benefit, Or Remedy Of Any Nature Whatsoever.

22.7 Relationship Of Parties

  1. The Relationship Between You And ICH Apps Is That Of Independent Contractors.
  2. Nothing In These Terms Creates Any Partnership, Joint Venture, Employment, Agency, Franchise, Or Representative Relationship Between The Parties.
  3. Neither Party Has Authority To Bind The Other Or Incur Obligations On Behalf Of The Other.

22.8 Notices

  1. All Notices Required Or Permitted Under These Terms Shall Be In Writing And Shall Be Deemed Given When:
    • Delivered Personally;
    • Sent By Confirmed Email;
    • Delivered By Recognized Overnight Courier Service; Or
    • Five (5) Business Days After Being Sent By Registered Or Certified Mail, Return Receipt Requested.
  2. Notices To ICH Apps Should Be Sent To: Support@ichapps.org
  3. Notices To You May Be Sent To The Email Address Or Physical Address Provided In Your Account.

22.9 Language

  1. These Terms Are Drafted And Executed In The English Language.
  2. If These Terms Are Translated Into Any Other Language, The English Language Version Shall Prevail In The Event Of Any Conflict Or Inconsistency.

22.10 Force And Effect

  1. These Terms Shall Remain In Full Force And Effect While You Use The Platform Or Maintain An Account.
  2. Provisions Intended To Survive Termination Shall Continue In Full Force And Effect Following Termination.

22.11 Electronic Communications

  1. By Using The Platform, You Consent To Receive Electronic Communications From ICH Apps.
  2. These Communications May Include Notices, Agreements, Disclosures, And Other Information Concerning Or Related To The Platform.
  3. You Agree That Any Notices, Agreements, Disclosures, Or Other Communications That We Send Electronically Satisfy Any Legal Communication Requirements, Including That Such Communications Be In Writing.

22.12 Interpretation

  1. Section Headings Are For Convenience Only And Shall Not Affect The Interpretation Of These Terms.
  2. The Words "include," "includes," And "including" Shall Be Deemed To Be Followed By "without Limitation."
  3. References To "writing" Or "written" Include Email And Electronic Communications.
